NPCF Vet Partner Terms and Conditions

These Terms and Conditions (the “Terms”) govern the NPCF Vet Partner Program offered by the National Pet Care Fund (“NPCF”, “we”, “us”, “our”) to participants in the NPCF Vet Partner Program (each a “Vet Partner”, “you”). All Vet Partners agree to abide by these Terms.

1.     Registration and Commitment

You agree to provide accurate and up-to-date contact information about your clinic, which shall be used for communication in connection with the NPCF Vet Partner Program, promotional display materials, and otherwise to facilitate the NPCF Vet Partner Program. Any personal information sent in connection with your participation in the program will be handled in accordance with our Privacy Policy and applicable privacy laws.

Grant Matching. For each approved grant that NPCF provides to a NPCF Pet Parent who purchases veterinary services from you, we ask you to reduce the NPCF Pet Parent’s bill for such services by a certain percentage of the NPCF grant amount (e.g., 25%, 50%, 75%, 100%). The reduction shall be directly applied to the bill of the NPCF Pet Parent. For clarity, there will be no financial transactions between NPCF and the Vet Partner and NPCF shall provide no remuneration to you in connection with your participation in the Vet Partner Program.

Registering with NPCF does not obligate you to provide financial assistance to NPCF Pet Parents. You may modify your grant matching amount  at any time by providing written notice to NPCF. You may decide, in your sole discretion, whether to assist each NPCF Pet Parent who seeks to receive services at your clinic.

2.     Promotion and Listing

Vet Partners approved by NPCF may be listed on NPCF’s website or in other NPCF written materials (e.g., brochures, pamphlets, etc.), indicating their status as a Vet Partner. Such information may include Vet Partner names, logos and contact information. NPCF may also share information about Vet Partners with NPCF Pet Parents.

You may request to be removed from the registry of NPCF Vet Partners contained on NPCF’s website and/or any NPCF written materials at any time by providing written notice to NPCF.

You agree to display a link to the NPCF website on your website, indicating your status as a Vet Partner. Additionally, you agree to display reasonable promotional materials provided by NPCF within your clinic location.

3.     Termination

Either party may terminate the Vet Partner relationship upon written notice to the other party.

4.     Intellectual Property

Each party to these Terms retains all right, title, and interest in and to its respective intellectual property, including but not limited to trademarks, copyrights, patents, trade secrets, and any other proprietary information (“Intellectual Property”). Nothing in these Terms shall be construed as transferring any ownership rights in the Intellectual Property of either party.

Subject to these Terms, each party (“Licensor”) grants the other party (“Licensee”) a limited, non-exclusive, non-transferable, revocable license to use the Licensor’s trademarks, logos, and other designated Intellectual Property solely for the purpose of facilitating the NPCF Vet Partner Program as contemplated herein.

Each Licensee shall not, and shall ensure that its employees, agents, and contractors do not: (i) modify, adapt, or create derivative works of the Licensor’s Intellectual Property; (ii) use the Licensor’s Intellectual Property in any manner that could impair the Licensor’s rights or damage its reputation; or (iii) register or attempt to register any of the Licensor’s Intellectual Property or any marks confusingly similar thereto.

Upon termination or expiration of Terms, or upon written request by the Licensor, the Licensee shall immediately cease all use of the Licensor’s Intellectual Property and shall destroy or return any materials containing such Intellectual Property as directed by the Licensor.

5.     Confidentiality

Each party acknowledges that it may have access to or acquire confidential information of the other party, including information relating to such party’s affiliates and related companies, in connection with the relationship between NPCF and a Vet Partner. Each party shall keep in strict confidence all confidential information of the other party, and shall not at any time disclose such information to any third party or make use of such information for any purpose other than for the purpose of facilitating the NPCF Vet Partner Program, unless such disclosure is expressly permitted.

Such restrictions shall not apply to information (with the exception of personal information) that: (i) at the time of disclosure, is generally available to the public through no breach of these Terms; (ii) information which, after disclosure, becomes generally available to the public through no fault of the recipient party; (iii) information which was in the possession of the recipient party prior to its disclosure and which was not acquired directly or indirectly from the disclosing party; and (iv) and information received from a third party, without any confidentiality obligations and which was not directly obtained from the disclosing party

The confidentiality provisions of this Section 5 shall survive the termination of these Terms or a termination of the relationship between NPCF and the Vet Partner.

6.     Feedback

If you provide to us any comments, ideas, suggestions, or impressions of the NPCF Vet Partner Program or our activities, you provide us a full license to use it for any purpose (in accordance with applicable privacy laws), regardless of whether such feedback was actively solicited. You warrant that any such feedback does not infringe on any third-party rights and that you have the necessary rights to grant this license.

7.     Disclaimers and Limitation of Liability

These Terms do not create any legal or financial obligations between NPCF and Vet Partner clinics. All financial assistance provided to a NPCF Pet Parent in connection with the NPCF Vet Partner Program is handled exclusively between the Vet Partner and the NPCF Pet Parent. NPCF is not a party to the service agreement between you and the NPCF Pet Parent.

NPCF takes reasonable steps to verify the identity and eligibility of NPCF Pet Parents. However, NPCF cannot guarantee the accuracy, completeness, or reliability of any information provided to Vet Partners. NPCF (including its directors, officers, employees, and agents) shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, resulting from a Vet Partner’s reliance on information provided.

8.     Release

You release and agree to hold NPCF and its affiliates, directors, officers, shareholders, employees and agents harmless from any loss or damage resulting to you from the provision of services to any NPCF Pet Parent or from your participation in the NPCF Vet Partner Program.

The release contained in this Section 8 shall survive the termination of these Terms or a termination of the relationship between NPCF and the Vet Partner.

9.     Non-Transferability of Vet Partner Status

A Vet Partner shall not, without the prior consent of NPCF, assign, transfer or deal in any other manner with its status as a Vet Partner.

10.   Governing Law

These Terms are governed by the laws of Quebec, Canada. Any disputes arising out of these Terms shall be subject to the exclusive jurisdiction of the courts of Montreal, Quebec, Canada.

11.   Changes to these Terms

NPCF may modify or update these Terms at any time, in its sole discretion. Any such changes or modifications to the Terms shall be available on the NPCF website or otherwise communicated to Vet Partners in writing.

12.   Separate Entities

Nothing in these Terms is intended to, or shall be deemed to, constitute a partnership or joint venture of any kind between the parties, nor constitute any party the agent of the other party for any purpose. No party shall have authority to act as agent for, or to bind, the other party in any way.

All written notices to the Vet Partner shall be delivered to the address contained in the Vet Partner’s application to the NPCF Vet Partner Program.

14.   Language
